§ 1
“Ivys Rescue” is an organisation established with a purpose to save, protect, treat, and care for ill, unwanted animals. We help and assist with adoptions by taking animals away from their bad living or care conditions, organising temporary places for them, organising treatment for ill animals at vet clinics and covering costs of such treatments. Each and every animal is important to us, we don’t stay indifferent when we see misery of our “smaller relatives”. Thanks to our donors, people with BIG hearts, we can act and fight for better lives of animals.
Also in future we plan to carry out educational programs within our society so permanent changes in approach to animals could start from within us.
- Organisation Ivys Rescue, further referred to as “The Organisation” has been established by
Kaye Black and Caroline Black, - The Organisation is a legal entity operating within the U.K. and abroad according to legal regulations and rules listed herewith in the Statute.
- Registered address of the Organisation is Sanquhar village.
Section II. – PURPOSE, SCOPE AND FORMS OF ACTIVITY OF THE ORGANISATION
§ 2
- The purpose of the Organisation are charitable and educational activities in helping and caring for homeless, abandoned or mistreated animals; supporting environmental protection actions, as well as informing and educating about the problem of food and alimentation of the world, promoting health and healthy living, including healthy diet and in particular:
- Protecting and promoting health,
- Protecting animals in a humane way,
- Supporting and promoting environmental and ecological actions,
- Running education and information sessions,
- Social aid (service),
- Charitable activities,
- Popularising and protecting consumer rights,
- Supporting volunteering activities;
- The Organisation pursues its goals through:
- organising and financing educational activity in all aspects of healthy life style;
- actions aiming for protection of people’s health by making them aware of research on healthy eating;
- organising meetings, programmes at schools, high schools, seminars and other forms of raising awareness with aim to promote goals of the Organisation
- organising, financing and promoting investments, campaigns and research leading to eliminate animal abuse;
- financial and in-kind support for animals;
- establishing and running shelters for animals;
- sponsoring programmes promoting aims and goals of the Organisation in mass media;
- organising educational camps;
- organising and supporting volunteer activities
- co-operating with government and local authorities and institutions, companies and people working locally and abroad in scope necessary in executing goals of the Organisation.
§ 3
- The statutory activity of the Organisation is the activity of public benefit and it may be carried out as a non-paid activity and a paid activity
- The Organisation carries its non-paid activity mentioned in § 2 point 2 of this Statute sub-points: a, b, c, d ,e, f, g, h, i, j.
- The Organisation carries its paid public activity in its forms of its activity listed in § 2 point 2 sub-point a, e, h
§ 4
- The Organisation can be a member of other social and economic organisations.
- To achieve its objectives the Organisation may support other legal entities or people, whose activity is in line with statutory objectives of the Organisation.
§ 5
- Assets of the Organisation consist of the Registered Capital and revenue, real property, movables, material and legal values and measures obtained in the course of its operation
- The Organisation can also gather funds in public collections, inheritance, subventions, entries or donations from legal entities or people residing in the U.K. or abroad, bank interests, dividends from earnings per share and shares in companies, income gained from its paid public activity,
- Inheritance, entries or donations can be in form of money, shares, securities, real estate property and movable property.
- In case of entering an organization to inherit the Organisation submits declaration of acceptance of inheritance with the benefit of inventory only when it is clear that at the time of the submission values of assets included in the inheritance significantly oversize the inheritance debts.
- The Organisation carries its financial management and accounting books basing on rules laid down in separate provisions. In accounting books of the Organisation its economic activity is separated from its statutory activity.
§ 6
Income from donations, inheritance, entries and business activity can be used only to carry statutory activity of the Organisation to achieve statutory objectives.
§ 7
The Organization is forbidden to:
- grant lending or secure commitments with its property towards members of its bodies or employees and their spouses or their relatives or direct affinities, relatives or secondary affinities to the second degree or are related by adoption, care or guardianship, further referred to as „relatives”,
- transfer its property to members of authorities or employees and their relatives, on different basis than in relation to third parties, in particular if such a transfer is free of charge or based on preferential conditions,
- purchase of goods or services on preferential conditions from entities, where members of its bodies or employees or relatives take part Section V. Conducting business activity by Foundation
§ 8
The Organisation can carry its activity in accordance with the applicable regulations and its Statute in the following areas:
- retail sale remains at general shops
- retail sale of new goods remains at specialised shops
- retail trade conducted outside the store network
- publicising magazines and periodicals
- editing of books
- sound recordings
- other publication activity
- business and management consulting
- other catering facilities
- data processing
- film and video activity
- photography .
- advertising
- other entertainment not classified earlier
§ 9
- The Organisation may carry its business activity directly or through organisationally separated units.
- All income from business activity is intended for the implementation of statutory objectivesSection VI. SPECIFIC PROVISIONS
§ 10
The Organisation may establish badges and medals of honour and award them together with other rewards and distinctions to individuals and legal persons benevolent for the organisation or pursuing its objectives..
§ 11
- The Organisation can merge with another Charity
§ 12
- The Organisation will be shut down after achieving its goals or depletion of funds and assets.
- The assets remaining after liquidation of the organisation shall be transferred to institutions with activities in line with the objectives of the Organisation.
